Digital Sales & Transfer Framework, End‑to‑End Electronic Transactions (ADGM)

What’s New: ADGM has introduced a fully digital property selling and gifting process, operated through the AccessRP platform. This comprises one of the most significant advancements in the region’s real estate legal framework.

 

Major Features:

• “Virtual Sell and Purchase” Service:

This service consolidates multiple previously discrete transaction steps, including discharge of mortgage, transfer registration, and mortgage registration, into a single online process that can be completed by sellers, buyers, banks, and other stakeholders without physical paperwork or attendance.

 

End‑to‑End Digital Processing:

Contracts, approvals, payments, and confirmations are processed electronically, significantly reducing timelines and eliminating many physical procedural requirements.

 

• Remote Participation:

The system supports remote signing and participation by all relevant parties (including financing institutions), enhancing convenience and aligning with modern digital transaction practices.

 

3. Off‑Plan Protections Under the 2024 Regulatory Framework

The Real Property Regulations and Off‑Plan Development Regulations 2024 have been substantially enhanced to provide better legal clarity, investor protection and market certainty for off‑plan purchasers within ADGM.

Key Enhancements:

•Enhanced Escrow & Off‑Plan Sales Regulation:
Off‑plan sales now occur under a structured regulatory framework that requires developers to comply with strict disclosure, escrow safeguarding, and project registration requirements. These measures aim to protect buyers by ensuring project transparency, milestone‑based payments, and escrow oversight by the regulator.

 

• Digital Registration of Off‑Plan Contracts:

All off‑plan sales agreements must be registered through the AccessRP system, linking the contract and ownership record transparently on the ADGM register.

 

• Clear Off‑Plan Dispute Mechanisms:

The updated regulations include provisions for structured termination and dispute resolution procedures for off‑plan agreements, facilitating more predictable outcomes for disagreements between developers and buyers.

 

• Developer & Project Obligations:

Developers must register their projects and associated sales data with the Registration Authority within specified timelines and maintain compliance with ongoing reporting/stakeholder protection requirements embedded in the regulation.

 

4. Transition and Compliance Notes

For All Homeowners & Investors:

• The regulatory changes apply to all property within ADGM’s jurisdiction, including Al Reem Island and Al Maryah Island, and compliance is required to ensure continued enforceability of property rights and transaction validity.

 

•Entities and professionals (e.g., brokers, valuers, property managers) must also comply with new registration requirements under the Real Property Regulations (ensuring harmonised service levels and market transparency).

 

Enforcement & Deadlines:

• The transition to digital title management and digital sales is already in effect; property owners should prioritise updating title deeds and aligning existing transactions with AccessRP requirements.
